1. Who we are
The site is operated by the Yompei team, an unincorporated business doing business as Yompei and based in the United States ("Yompei", "we", "us"). "You" means the person or business using the site. If Yompei is later organized as a company, these terms will be assigned to that company, which will take over our rights and obligations under them.
2. What the site is (and isn't)
yompei.com currently provides (a) information about the Yompei product and (b) a waitlist for early access. The product itself — deadline tracking, public-record lookups, and optional filing assistance — is being released state by state and is not yet generally available. Descriptions on the site show what we are building; features, states covered, and timing may change before launch.
Examples on the site (company names, findings, calendar entries) are fictional and for illustration only.
3. Not legal, tax, or professional advice
Yompei is a software and information service. We are not a law firm, accounting firm, or registered agent, and we do not provide legal, tax, or accounting advice. Using the site or the product does not create an attorney-client, accountant-client, or fiduciary relationship. Information about filing deadlines, fees, penalties, and consequences is general in nature, may not reflect the most recent changes in law, and may not apply to your situation. Consult a licensed attorney or accountant in your state before making decisions that affect your business.
Where we describe preparing or submitting filings on your behalf, we do so as a document-preparation and filing service acting on your instructions, not as your legal representative. You remain responsible for the accuracy of the information you give us and for the legal consequences of your filings.
4. Public records and accuracy
Our findings draw on public records published by state agencies and on information you enter. We do not control state databases. Records can be delayed, incomplete, inconsistent between sources, or simply wrong, and some states do not publish certain fields at all. When a source does not return something, we label it as unknown rather than guessing — but a blank or "unknown" is not confirmation that nothing is due. You are responsible for verifying deadlines and status with the relevant state agency and for making your own filings on time. Yompei is not responsible for late fees, penalties, loss of good standing, dissolution, or other consequences arising from reliance on the site or product.
Yompei does not verify identity, ownership, or authority. A "match" against a public record or watchlist is a data comparison, not a determination of fact.
5. Early access and pricing
Joining the waitlist is free and does not obligate you to buy anything. It also does not guarantee you access: we open access in stages, by state, at our discretion. Pricing shown on the site is indicative of our planned plans in US dollars, excludes any applicable taxes and state filing fees, and may change before launch. Where we say early-access members "lock in" a price, that means the monthly price shown when you joined the waitlist will be honored for your first 12 months of a paid subscription, provided you subscribe within the window stated in your invitation email.
6. Future paid plans, renewals, and cancellation
We do not currently accept payments on this site. When paid plans launch, the following will apply in addition to any order terms shown at checkout:
- Subscriptions renew automatically each billing period (monthly unless stated otherwise) at the then-current price for your plan, until you cancel. We will clearly disclose the price, billing frequency, and how to cancel before you first pay, and we will notify you before any price increase takes effect.
- You can cancel any time through your account settings or by emailing us; cancellation takes effect at the end of the current billing period, and you keep access until then. Cancelling online will be at least as easy as signing up.
- State filing fees are charged by the state, passed through at cost, and are non-refundable once paid to the state.
- Refunds are governed by our Refund Policy.
- Text-message alerts, if offered, will be sent only after you separately opt in, and you can stop them at any time by replying STOP.
7. Acceptable use
You agree not to: use the site for any unlawful purpose; submit false information or someone else's email address without permission; attempt to access, scrape, overload, probe, or interfere with the site, its forms, or its infrastructure; use automated means to submit forms; or copy, resell, or create derivative works from the site except as allowed below. We may suspend or block access for violations.
8. Intellectual property
The Yompei name, logo, and all site content (text, design, graphics, code) are owned by Yompei or its licensors and protected by copyright and trademark law. You may view and print pages for your own business evaluation. You may not use the Yompei name or logo without written permission. Public records referenced on the site remain public; we claim no ownership over them.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Third-party services
The site relies on third-party providers (for example Google for form handling and fonts, and GitHub for hosting) that are governed by their own terms and privacy policies. We are not responsible for their availability or conduct. Links to external sites, including state agency websites, are provided for convenience; we do not endorse and are not responsible for their content.
10. Disclaimer of warranties
THE SITE AND ALL INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY DEADLINE, STATUS, FEE, OR FINDING IS COMPLETE, CURRENT, OR CORRECT. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YOMPEI AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOOD STANDING, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow these limitations, so they may not apply to you. Nothing in these terms limits liability that cannot be limited by law, including for fraud or willful misconduct.
12. Indemnity
You agree to defend and hold Yompei harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these terms, your violation of law, or information you provide that is inaccurate or that you had no right to provide.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at help@yompei.com and give us 30 days to try to resolve it informally. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction, except that either party may bring an individual claim in small-claims court. Nothing in this section prevents you from bringing a claim under consumer-protection laws of your home state where those laws give you that right.
14. Changes to these terms
We may revise these terms as the product develops. We will post the revised terms here with a new "Last updated" date. For material changes affecting waitlist members, we will also email you at least 14 days before they take effect. Continued use of the site after the effective date means you accept the revised terms.
15. General
These terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, are the entire agreement between you and Yompei about the site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
